COMPANY SECRETARIAL SERVICES

The Firm have staff who specialise in all aspects of company law relating to the formation, operation, management and dissolution of companies. We act as Company Secretary to many large and small, public and private companies, and have been closely involved with converting several private companies into public companies. Recently we were part of the team that arranged a Private Placement of Shares for a well known food manufacturer, in advance of a contemplated listing on the first tier of the Nigerian Stock Exchange. 

We have particular experience in advising foreign companies and their legal advisers on the laws relating to the establishment of foreign owned companies investing in new business opportunities in Nigeria and in obtaining all the Federal and State Government approvals and permits that are required before a new company can commence its operations.

DUE DILIGENCE INVESTIGATIONS

The Firm also specialise in the legal and commercial audit of companies, either as a necessary component of any proposed transaction for which our legal opinion has been requested, or as a preliminary to the re-structuring of a company. These Due Diligence searches have been undertaken on both private sector and publicly quoted companies, operating in all sectors of the economy but especially in banking, industrial manufacturing, hospitality and transport.

These due diligence searches have included a number of Federal Government owned companies and parastatals that are proposed for privatisation. The Firm, as a member of Legal Advisory Partnership, have prepared detailed due diligence reports on all Power Holding Company of Nigeria ("PHCN") successor distribution companies, in preparation for their privatisation pursuant to the National Power Policy of 2001 and the Electric Power Sector Reform Act of 2005.
